Terms (EULA)

End-User License Agreement for Bandje · Version 1.0 · Effective date: 5 November 2026

IMPORTANT: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual consumer or a business entity) and Neurendal B.V. for the macOS application "Bandje" downloaded via the Apple Mac App Store ("the App").

1. Acknowledgement and scope of this agreement

1.1 Parties. This EULA is concluded between you and Neurendal B.V. ("Neurendal", "we", "us") only, and not with Apple Inc. ("Apple"). Neurendal, and not Apple, is solely responsible for the App and the content thereof.

1.2 App Store Version vs. Source Code. This EULA governs only the compiled App Store version of Bandje as distributed through the Apple Mac App Store. The source code of the application is published separately at https://github.com/neurendal/band.je under the GNU General Public License version 3 (GPL-3.0). The GPL-3.0 governs that source code only. As the copyright holder, Neurendal distributes the App Store version under this EULA; nothing in this EULA limits the rights the GPL-3.0 grants you in that source code. The GPL-3.0 does not grant any rights to the name "Bandje", the cassette logo or any other trademark of Neurendal, nor to the bundled third-party speech models.

2. License grant and usage rules

2.1 Scope of License. Subject to the terms of this EULA, Neurendal grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any Apple-branded products running macOS (macOS 15 or later on Apple silicon) that you own or control, and strictly as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

2.2 Family Sharing and Volume Purchasing. In accordance with the Apple Media Services Terms and Conditions, the App may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing programs.

3. Recording responsibility and legal compliance by the user

3.1 No Participant Notification by the App. Bandje records system audio and microphone audio during calls and meetings across applications into a local stereo audio file on your Mac. THE APP DOES NOT NOTIFY OTHER CALL OR MEETING PARTICIPANTS THAT THEY ARE BEING RECORDED.

3.2 Recording Laws Differ by Country. Laws governing the recording of telephone calls, online meetings, and in-person conversations vary significantly per country and jurisdiction. Some jurisdictions allow recording if one participant is aware ("one-party consent"), while other jurisdictions strictly require the prior explicit consent of all participants ("all-party" or "two-party consent", such as Germany under Section 201 of the German Criminal Code (StGB) and several US states). Under criminal law, unlawful recording can be a criminal offense.

3.3 Business Use and Data Protection (GDPR). If you use the App in a professional, commercial, or organizational context (or outside a purely personal or household activity), recording and transcribing conversations generally constitutes the processing of personal data under the EU General Data Protection Regulation (GDPR) or equivalent local privacy laws. This typically requires a valid legal basis and prior transparent information to all participants.

3.4 Sole User Responsibility. You alone are responsible for ensuring that your use of the App is lawful in the jurisdiction where you and all other participants are located. This includes, where legally required, informing all participants in advance and obtaining their valid consent before starting a recording. To the maximum extent permitted by applicable law, Neurendal accepts no liability whatsoever for any unlawful recordings, privacy violations, or criminal or civil infringements committed by you when using the App.

4. No reliance on transcripts, summaries, and dictation

4.1 Automated On-Device Output. The App provides automated on-device transcription (across 25 languages), automated speaker segmentation (where you assign speaker names), keyboard dictation (pasted via clipboard and Accessibility permissions), and optional on-device summaries generated via Apple Intelligence (on supported macOS versions).

4.2 Inaccuracies and Errors. Automated speech recognition, speaker labeling, and artificial intelligence summaries are inherently probabilistic and can be inaccurate, incomplete, misattributed, or completely wrong (including AI hallucinations or misinterpretations).

4.3 Obligation to Verify. All transcripts, speaker labels, dictated text, and summaries are provided strictly as an assistive tool. You must independently verify the accuracy of any output against the original audio or facts before relying on it, publishing it, or sharing it. You must never rely solely on the App's output for legal, medical, human resources (HR), journalistic, financial, or other critical decisions.

5. Recordings can fail and user backups

5.1 Technical Limitations. Audio recordings, transcriptions, or dictations may fail, stop unexpectedly, or be incomplete due to factors outside Neurendal's control, including but not limited to macOS system updates, missing or revoked macOS permissions (such as Microphone, Screen & System Audio Recording, or Accessibility), hardware or audio device changes, conflicts with other applications, or insufficient disk space.

5.2 Local Storage and Backups. All recordings, transcripts, and interactive HTML recording pages are stored locally on your Mac (by default in ~/Music/Bandje or a folder you select). Neurendal does not operate any cloud storage or backup servers and cannot recover lost files. You are solely responsible for testing your setup before important recordings and for maintaining regular backups of your local files.

6. Third-party speech models, license check, and restrictions

6.1 Third-Party Terms. When using the App, you must comply with all applicable third-party terms of agreement:

6.2 Mandatory Monthly License Check. The App operates entirely on your device without an account, cloud storage, or analytics. However, as required by the Desert Ant Labs Source-Available License 1.0, the App performs an automated online license check at most once per month per model (for two models). This check transmits only: a random installation ID, the model name and version, the SDK version, the platform, and the app ID. It never transmits audio, transcripts, or personal user content. Desert Ant Labs B.V. acts as the independent data controller under the GDPR for this telemetry check. For details, please refer to our Privacy Statement at https://band.je/privacy/.

6.3 Restrictions on Models and License Check. Under the terms of the Desert Ant Labs license, you are strictly prohibited from:

7. Maintenance and support

7.1 Neurendal's Role. Neurendal is solely responsible for providing any maintenance and support services with respect to the App, as specified in this EULA or as required under applicable law.

7.2 No Obligation for Apple. You and Neurendal acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

8. Warranty and conformity

8.1 Statutory Consumer Rights. If you are a consumer residing in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction with mandatory consumer protection laws, you have statutory rights regarding the conformity of digital products (including under Articles 7:17 and 7:18 of the Dutch Civil Code and EU Directive 2019/770). Nothing in this EULA excludes, limits, or restricts those mandatory statutory warranty rights.

8.2 Apple Refund Mechanism. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Neurendal's sole responsibility, subject to the terms of this EULA.

8.3 B2B Disclaimer (Business Users Only). If you act in the course of a profession or business (B2B), and not as a consumer, the App is provided "as is" and "as available" without any express or implied warranties of merchantability, fitness for a particular purpose, or continuous error-free operation.

9. Product claims and limitation of liability

9.1 Responsibility for Product Claims. You and Neurendal acknowledge that Neurendal, not Apple, is responsible for addressing any claims of yours or any third party relating to the App or your possession and/or use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. This EULA does not limit Neurendal's liability to you beyond what is permitted by applicable law.

9.2 What We Never Exclude. Nothing in this EULA excludes or limits Neurendal's liability for:

9.3 Liability Cap and Exclusions (Subject to Article 9.2). Subject always to Article 9.2 and mandatory consumer law:

10. Intellectual property infringement claims

10.1 Third-Party IP Claims. You and Neurendal acknowledge that, in the event of any third-party claim that the App or your possession and use of that App infringes that third party's intellectual property rights, Neurendal, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

11. Export control and legal compliance

11.1 US Sanctions Representation. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

12. Third-party beneficiary

12.1 Apple as Third-Party Beneficiary. You and Neurendal acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

13. Termination, changes, and general provisions

13.1 Termination. This EULA is effective until terminated by you or Neurendal. Your rights under this EULA will terminate automatically if you fail to comply with any of its material terms (such as tampering with the license check or violating model restrictions). You may terminate this EULA at any time by deleting the App from your devices.

13.2 Changes to this EULA. Neurendal may update this EULA for future updates of the App to reflect legal, technical, or licensing changes. Any updated EULA will apply when you download or install the updated version of the App.

13.3 Severability. If any provision of this EULA is held to be invalid or unenforceable under applicable law, the remaining provisions will remain in full force and effect.

13.4 Entire Agreement. This EULA constitutes the entire agreement between you and Neurendal regarding your use of the App Store version of the App.

14. Governing law and dispute resolution

14.1 Governing Law. This EULA and any disputes arising out of or in connection with it are governed by the laws of the Netherlands, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

14.2 Consumer Protection Overrides (Rome I). If you are a consumer habitually residing in a country of the European Union or another jurisdiction with mandatory consumer protection laws, this choice of Dutch law does not deprive you of the protection afforded to you by the mandatory provisions of the law of your country of habitual residence (in accordance with Article 6(2) of Regulation (EC) No 593/2008, "Rome I", or equivalent local law).

14.3 Competent Court. Any dispute shall be submitted to the competent court in the Netherlands. However, if you are a consumer, you retain the mandatory statutory right to bring proceedings in the courts of the place where you are domiciled, and Neurendal may only bring proceedings against a consumer in the courts of the country or place where the consumer is domiciled.
